Brylee Terms of Service

1. Who we are and what you're agreeing to
Brylee is an automation and business phone platform (the "Service"). It is a service of Brisco Communications, Inc., a Georgia corporation ("we," "us," "Brisco"). Brylee lets you connect the apps you already use, build automated tasks, store data in tables and forms, work with an AI assistant, and, when phone service is offered, run business phone numbers, texting, voicemail and an AI receptionist, whether you're doing that for a business or for yourself. The Service includes bryleeai.com, app.bryleeai.com, the Brylee API, Brylee phone and messaging features, and related services.
By creating an account, clicking "I agree," or using Brylee, you ("you," the "Customer") agree to these Terms of Service (the "Terms"), our Privacy Policy, and our Acceptable Use Policy (the "AUP"). The Privacy Policy and AUP are part of this agreement.
Who can use Brylee. Brylee serves businesses and individuals alike. Brylee is a US-based service offered from the United States. By signing up you confirm that:
- you are at least 18 years old (no one under 18 may use Brylee); and
- if you are signing up on behalf of a business or organization, you have the authority to bind it to these Terms, and "you" in these Terms includes that business.
Most of these Terms apply the same way to everyone. Where a term only makes sense for one audience (for example, provisions about a business's own customers), the term says so.
If you don't agree to these Terms, don't use Brylee.
2. Words we use
- Workspace: a separate area in Brylee that holds one customer's data, automations, phone numbers and members. A workspace can belong to a business or to you personally. Billing happens per workspace.
- Task: an automation you build in Brylee (for example: "when a form is submitted, add a row to a table and send an email").
- Run: one execution of a Task.
- Connector: the piece that lets Brylee talk to another product (like Gmail, Slack or Stripe), or to an API you supply yourself.
- Phone service: Brylee phone numbers, calls, text messages, voicemail and the AI receptionist.
- Seat: one user or phone line on a phone plan, as described when you activate phone service.
- Customer Data: everything you (and anyone you invite) put into Brylee or that Brylee stores for you when your Tasks run or your phone service is used: table rows, form submissions, files, task configurations, chat messages, call records, texts, voicemails, and the credentials you connect.
3. Your account and workspaces
- You must give accurate account information and keep it current.
- You sign in with a 6-digit code we email to you, with a password, or with your Google, Microsoft or GitHub account. You can also turn on two-factor authentication, and we recommend it.
- You are responsible for what happens under your account and workspaces, including what anyone you invite does. Keep your email account, sign-in methods and credentials safe, and tell us right away at support@bryleeai.com or 1-888-230-1090 if you believe your account has been compromised.
- Workspaces have roles (such as owner, admin, member). The workspace owner of record controls the workspace, its billing, and who has access. If the people in a workspace disagree about who controls it, that is between you. We follow the owner of record.
- We may limit the number of free workspaces per person.
4. Fees, billing, and taxes
- Automation plans. Brylee automation is sold in monthly plan tiers, billed per workspace. Plan prices and limits are shown when you choose a paid plan. Automation is not unlimited: each plan includes a set number of runs per billing period, along with other limits shown when you choose a plan. We will tell you as your workspace gets close to its limits. When you outgrow your plan, you can move up to the next plan. Pay-as-you-go runs are not yet offered. When offered on the Business plan and higher, you can instead choose to turn on pay-as-you-go runs. Pay-as-you-go is off until you turn it on, and when you turn it on you set a monthly spending cap. Runs beyond your plan's allowance are then charged at the per-run rate disclosed before you turn pay-as-you-go on, itemized on your bill and billed after you use them (in arrears). When your pay-as-you-go charges for the billing period reach your cap, we stop running extra runs until the next billing period, or until you raise the cap or upgrade. You can lower the cap or turn pay-as-you-go off at any time. Automation plans have no usage credits to top up and no bring-your-own-API-key pricing.
- Phone plans. Phone service is not yet available. When offered, phone service is priced per seat. Each seat includes unlimited outbound calling to numbers in the United States and Canada, and normal inbound calling to your local numbers, for normal business use, as described in Section 10. The following are not included and are metered: text messages (sent and received), inbound calls to toll-free numbers, calls to other countries, and AI phone features, such as the AI receptionist and other Brylee AI minutes, beyond the amount your plan includes each billing period. Metered usage is charged at the rates disclosed before you activate phone service, and any other usage disclosed as metered before activation is charged the same way. Every metered charge is itemized on your bill so you can see exactly what it is for.
- Payment and renewal. Payments are processed by Stripe. We never see or store your full card number, and our staff never type card numbers for you. Subscriptions are billed in advance each billing cycle and renew automatically until cancelled. Metered usage (text messages, inbound toll-free minutes, international calls, AI phone minutes beyond your included amount, and opt-in pay-as-you-go runs) is billed in arrears, on the bill after the period in which you used it.
- Free trial. Every subscription starts with a 7-day free trial. If you only use automation, no payment card is needed to start the trial, and nothing is charged when it ends unless you choose a paid plan. Phone service is not yet available. When offered, to turn on phone service, including during the trial, you must add a payment card first. Before taking a card for a phone trial, we will show the price, the first charge date and how to cancel, and ask for your express agreement to the automatic charge. During that trial, phone service includes a small free allowance of minutes and texts, shown before you start; we may limit trial phone usage to prevent fraud. If your trial includes phone service, your card is charged automatically when the trial ends for the plan and number of seats shown when you started the trial, at the price shown then, and billing continues each billing cycle until you cancel. We email you a reminder 2 days before the trial ends, with the amount and the date of the first charge and how to cancel. To avoid the charge, cancel before the trial ends from your billing settings.
- Complimentary accounts. We may provide free ("comped") accounts at our discretion. Comped accounts do not go through Stripe but are still bound by these Terms and the AUP, and we may end a comp at any time with reasonable notice.
- Plan changes, cancellation, and refunds. You can upgrade, downgrade or cancel from your billing settings. There are no long-term contracts and no early termination fees. Fees are non-refundable, including metered usage charges. Cancellations and downgrades take effect at the end of the current billing period, and you keep what you already paid for until then. Upgrades take effect right away and are pro-rated, so you only pay the difference for the rest of the billing period.
- Price changes. We may change prices going forward with reasonable advance notice, and at least 30 days' notice for an increase. Changes take effect at your next renewal, never mid-cycle. If a carrier or government charge we pass through changes, the new charge applies from its effective date and we will show it on your bill.
- Billing questions. If you think a charge is wrong, tell us at support@bryleeai.com within 60 days of the bill date and we will look into it. Paying a bill does not stop you from asking.
- Taxes and telecom fees. Prices don't include taxes. You are responsible for any sales, use, telecom or similar taxes that apply to your purchase, other than taxes on our income. Phone service also carries government-required fees and surcharges (for example, 911 fees and federal Universal Service Fund charges). Taxes and telecom fees are listed as separate lines on your bill. If you are exempt from a tax, send us a valid exemption certificate; the exemption applies from the date we receive it.
- Non-payment. If a payment fails and stays unpaid after we notify you, we may suspend the workspace until it's paid. If phone service is suspended for non-payment, calls to 911 may not work from that line. Non-payment never stops you from moving your phone numbers to another provider (Section 10), but the amount you owe stays due.
5. Your data is yours
- Ownership. You own your Customer Data. We claim no ownership of it.
- Our license to run the Service. You give us permission to host, store, process, transmit and display Customer Data only as needed to provide the Service to you, keep it secure, comply with law, and as described in the Privacy Policy. That is the whole purpose of the license. We don't use your data for anything else.
- No selling, no ads, no AI training. We do not sell Customer Data, we do not use it for advertising, and we do not train AI models on it.
- Your responsibilities for your data. You are responsible for having the rights and any necessary consents for the data you put into or process through Brylee, and for that data's lawfulness, including, if you use Brylee for a business, data your forms, automations and phone lines collect from your business's own customers.
- Getting your data out. You can export your data yourself, free, on every plan, from inside Brylee. Export files are machine-readable, and each download link expires after 7 days (you can make a new one at any time). If you need help getting a copy of your data, contact us and we will help.
- After cancellation. When a workspace is deleted, we keep its Customer Data for a 30-day grace period, during which you can change your mind, export it, or ask us for a copy. After that window we erase it from every data store. Copies stay in backups only until those backups expire on their fixed schedule (within 30 days), and some copies are kept in write-once storage that cannot be changed before it expires. We do not use backups to repopulate deleted data. If we ever restore from a backup (for example, to recover from a failure), we delete again anything that had already been deleted, so a restore never brings back data or an account that asked to be deleted. Some records must be kept longer by law, such as billing, tax and phone call-billing records (at least 18 months); the Privacy Policy lists them.
6. AI features: what they do and what we promise (and don't)
Brylee uses AI to help you build automations, work with your data, answer questions ("Ask brylee") and transcribe voicemail. The AI receptionist is not yet available.
- Where AI processing happens. When an AI feature runs, the data needed for that request is sent to Amazon Bedrock (an AWS service) for processing, using Anthropic's Claude models today and possibly other models Bedrock hosts. Bedrock acts as our sub-processor and does not keep your prompts or results. Voicemail transcription runs on Cloudflare Workers AI. The AI receptionist's speech engine has not been finalized; its providers will be disclosed in the Privacy Policy before it is offered. The Privacy Policy lists these providers. We do not train AI models on your data.
- Assistant history. Ask brylee chat history is kept for about 90 days, then deleted.
- AI output can be wrong. AI-generated content (suggested automations, generated connectors, answers, summaries, drafts, transcripts, and what the AI receptionist says to callers) can be inaccurate, incomplete or inappropriate for your situation. Brylee is designed so that automations run the same way every time and important actions can require a human's approval, but we make no warranty that AI output is accurate, and you are responsible for reviewing your automations and their output before you rely on them. AI output is not professional advice (legal, medical, financial or otherwise).
- The AI receptionist speaks for your business. You decide what it is told to say and do. You are responsible for its instructions, and for telling callers they are speaking with an automated assistant, and that the call may be recorded or transcribed, where the law requires it. The AI receptionist is not an emergency service: it must never be the way a caller reaches 911.
- You stay in control. Automations only do what they are configured to do, with the accounts and permissions you connect. It's your job to configure them, test them, and check what they did.
7. Automations are your responsibility
Automations can send messages, and create, change or delete data in your connected accounts. Brylee runs the Tasks you build as you configured them. You are responsible for configuring, testing and monitoring your automations and for their effects (for example, an email your Task sent or a record your Task changed). Brylee provides human-approval gates for certain destructive operations, but those gates do not shift responsibility for your automations to us.
8. Connectors and third-party services
8.1 Built-in connectors
Brylee ships connectors to third-party products (for example Gmail, Slack, Stripe). Your use of those products is governed by their terms, not ours. You authorize Brylee to access and act on your connected accounts only as your automations direct, using the permissions (scopes) you grant, and you can revoke that access at any time. If a third party changes or shuts off their API, connectors that depend on it may stop working. We'll do what we reasonably can, but we can't control other companies' products.
When your automations send email or messages, they send through your own connected accounts (for example, your own Gmail) or your own Brylee phone numbers. Brylee does not send email to your contacts or customers from Brylee addresses. You are responsible for how you use your connected accounts and numbers, including complying with the third party's terms and with laws that apply to your messages (see the AUP).
8.2 Credentials you connect
When you connect an account or add an API key, we store the credential encrypted in our own credential vault and use it only to perform the actions your automations and requests call for. See the Privacy Policy for details.
8.3 Connectors you supply (user-submitted connectors)
Brylee lets you paste an OpenAPI or Swagger specification (a machine-readable description of an API) and generates a connector from it. This section is important, so please read it.
- Private to your workspace, read-only. A connector generated from your specification is private to your workspace and limited to read-only operations. It is not published to other customers.
- We do not verify connectors you supply. The product tells you this on screen, and it is true. We run automated safety checks (for example, we refuse certain destination types and block connectors that impersonate apps Brylee already supports), but we do not review, test or vouch for the specification you submit, the API behind it, or the results it returns. Automated checks are a safety net, not a verification.
- You choose the destination, and the key goes only there. If your connector needs an API key, you type the destination hostname yourself, exactly, and Brylee sends the key only to that host. As the product says when you do this: the key will be sent to the host you chose and nowhere else; you chose this destination, so make sure you trust it with this key; the connector can use the key for any read it makes to that host, not just the initial check; Brylee doesn't verify connectors you supply; and when you continue, Brylee sends the key to that host to check it, so the host receives the key even if the check fails. These Terms mean exactly what that screen says.
- What you promise us. By submitting a specification or pointing a connector at an API, you represent and warrant that:
- you have the legal right to use that API and that specification;
- the destination is a system you are authorized to access;
- your use of the connector complies with the API provider's terms and applicable law; and
- nothing you submit infringes anyone's intellectual property or other rights.
- You cover us if that's not true. You will defend and indemnify Brisco (see Section 17) against claims arising from the specifications, destinations and credentials you supply and the connectors generated from them. In plain terms: if you submit something you had no right to use, or point a connector somewhere you shouldn't, that is on you, not us, because we used what you provided.
- We can refuse or remove connectors. We may refuse, disable or remove any submitted connector at any time, with or without notice, including where our automated checks flag it. Certain destinations (for example shared hosting, request-capture services, and internationalized domain names) are routed to staff review before a key can be added.
- Promotion to the shared catalog. In some cases a connector you submitted may be promoted to Brylee's shared public catalog. Promotion always requires our staff review, and if it happens, the content of your submitted specification may become part of the catalog available to other customers. By submitting, you grant us the license needed for that. Connectors that hold your credentials are currently never promoted.
9. Prohibited data: no PHI, and follow the AUP
- No protected health information. Brylee is not HIPAA compliant and we do not sign Business Associate Agreements (BAAs). You must not store or process protected health information (PHI), or any data that would make Brisco a "business associate" under HIPAA, in Brylee. Health records do not belong in Brylee, whether they are a business's patients', your clients', or your own. This includes voicemails, texts and call recordings. If we discover PHI in the Service, we may require you to remove it or remove it ourselves, and repeated violations are grounds for termination.
- Acceptable use. Your use of Brylee must follow the Acceptable Use Policy. Violations can lead to suspension or termination under Section 13.
10. Phone service, texting and 911
Phone service is not yet available. This section applies when phone service is offered and you use it.
10.1 Emergency calling (911): important limits. Please read this.
- 911 on internet phone service works differently. Brylee phone service runs over the internet. It is not a traditional landline, and 911 calls may work differently than on a traditional phone line. 911 calls may not work, or may be delayed or sent to the wrong emergency center, if:
- your power is out (phones, routers and network equipment need power, and battery backup is your responsibility);
- your internet connection is down, slow or unsuitable (for example, some satellite connections), or our service, your internet provider or a carrier has an outage or congestion;
- your account is suspended or cancelled, including for non-payment;
- you move a phone, or use a softphone or mobile app somewhere new, without updating its 911 location;
- you call from a phone number that is not from the area where you are (a "non-native" number), which can send the call to an emergency center that does not serve your location unless your 911 location is registered;
- a new or changed 911 location has not finished activating (this can take a short time after you save it), or the emergency center's systems cannot display your number or location, in which case you may have to tell the operator where you are;
- your phone or equipment is faulty, not set up correctly, or has been tampered with.
- Your 911 location (dispatchable location). For every phone line and device, you must register the address where it is used, including the floor, suite or room when there is one, so responders can find the caller. Emergency responders receive the location registered for that line, not necessarily where the caller is. Update it in Brylee before a phone is moved; there is no charge to update it. Where our system can detect or suggest a location automatically, we will use it; you remain responsible for confirming it is right. Softphone and mobile apps will ask you to confirm your location when it may have changed. If no usable location is registered, a 911 call may be sent to a national emergency call center, whose operator will ask where you are.
- Where 911 works. When phone service is offered, 911 support is limited to supported locations in the United States; availability for a particular location must be confirmed before activation. Do not rely on Brylee phone service for 911 outside the United States. Toll-free numbers cannot be used to call 911; 911 calls go out with a local number registered to the location.
- You must acknowledge these limits. Before phone service is turned on, including during a free trial, the account owner must read and accept this 911 notice in the product. We keep a record of that acknowledgment. If we change this notice in a material way, we will ask existing customers to acknowledge it again. You must tell everyone who uses your phones about these limits.
- Warning labels. We provide a 911 warning label for every phone and device. You must place a label on or near each phone (and in each softphone or mobile app we show the notice on screen). Contact us if you need more labels.
- Direct 911 dialing and on-site alerts. Phone systems you set up through Brylee let anyone dial 911 directly, without dialing a prefix such as 9 first, and you must not change your setup in a way that stops that. For each 911 location you choose people (such as a front desk, a manager or security) to be alerted when someone there calls 911, by email and, if you choose, by text message or an automated phone call. The alert includes who called, from which extension and number, the registered location and the time. The alert never delays the 911 call. You must keep at least one alert recipient for every location.
- Keep another way to call 911. Brylee phone service is not a lifeline service. Keep a mobile phone or another way to call 911 available in case your internet or power is out.
- No charge for calling 911. We never charge you for placing a 911 call. The government 911 fees on your bill (Section 4) are separate and required by law.
10.2 Using your phone service
- Normal business use. Unlimited calling means outbound calls to US and Canadian numbers, and normal inbound calls to your local numbers, made for the normal business of the people who use your seats. Text messages and inbound toll-free minutes are metered (Section 4). It does not cover auto-dialing, call centers or telemarketing campaigns, continuous or extended call forwarding, call pumping, fax broadcasting, reselling the service, or other high-volume use, unless we agree in writing. If usage on a seat is far beyond normal business use, we will contact you first and may move that usage to metered rates or a different plan, or limit it.
- How calls are carried. We deliver calls and texts over our own network together with telecommunications carriers we choose. We may route any call or text over whichever carrier or path we select, for example for quality, reliability or cost, and we may change carriers, or move the numbers on your account from one of our carriers to another, at any time without changing your service, your numbers or your price. You authorize us to sign any carrier paperwork needed for this, including letters of authorization to move your numbers between our carriers. This does not affect your right to take your numbers to another provider (Section 10.3).
- Fraud and stolen credentials. Keep your phones, phone logins and voicemail passcodes secure. If you believe someone is using your phone service without permission, tell us right away at 1-888-230-1090 or support@bryleeai.com so we can stop it. You are responsible for charges from use of your account, including unauthorized use you could reasonably have prevented, but once you tell us we will act promptly to stop it, and we will work with you in good faith on charges caused by fraud we could have detected.
- Some calls are not supported. Operator-assisted (0+) calls, such as collect and third-party billed calls, are not supported. Directory assistance (411) and calls to international numbers, where supported, are charged at the rates disclosed before activation. Calls from payphones to your toll-free numbers may carry a payphone charge, which we pass through at cost.
- Call recording. Recording is off unless you turn it on. If you turn it on, you are responsible for following the recording-consent laws that apply to you and to the people you talk to, including states that require every person on a call to agree.
- Texting and calling rules. You must follow the laws that apply to calls and texts, including the Telephone Consumer Protection Act (TCPA), do-not-call rules, caller ID rules, and carrier rules for business texting (for example, registering your business texting campaigns when carriers require it). Only call or text people who have agreed to hear from you where the law requires consent. No robocalls, no spoofed caller ID, and no spam texts. See the AUP.
- Customer phone information. We protect information about your phone service (who you call, when, and what services you use) under the Federal Communications Commission's CPNI rules. The Privacy Policy, Section 7, explains how, including the passcode we ask for before discussing call details.
- Phone records we must keep. Billing, tax and call-billing records are kept for at least 18 months as federal telecom rules require, even after you leave.
10.3 Your phone numbers: porting and release
- Bringing numbers to Brylee (port-in). To move a number to Brylee, you sign a letter of authorization and give us a recent bill or account details from your current provider. Your current provider sets most of the timing. We will tell you the scheduled date once the port is confirmed. We do not charge a fee to port a number to Brylee.
- Taking numbers elsewhere (port-out). You can move your numbers to another provider at any time. Your new provider starts the port; we will complete valid port requests within the times federal rules set (for a simple port, one business day). We will not refuse or delay a valid port because you owe us money, but anything you owe stays due. We do not charge a fee to port a number away. Porting a number away ends Brylee service on that number.
- Numbers when service ends. If your phone service ends and you have not ported a number away, we disconnect it. Number release and reassignment are subject to applicable federal aging rules, including a minimum 45-day aging period. Once a number has been released to our carrier, we cannot promise that it can be restored or ported. After the applicable hold, the number may be reassigned to someone else.
- Numbers belong to the phone system, not to you as property. You have the right to use and port the numbers assigned to your account while your service is active, as described above; telephone numbers themselves are a public resource and are not owned by any customer or provider.
11. Security: what we actually do
We tell you our real security posture rather than vague assurances:
- Every customer's data is kept separate per workspace. In our main database (PlanetScale Postgres), the database itself enforces that separation using PostgreSQL row-level security, not only our application code. Our other data stores go through a single access layer that always scopes data to one workspace.
- Stored data is encrypted in transit and at rest. Connected credentials (OAuth tokens, API keys) are also encrypted inside our application and held in a credential vault we run ourselves. We do not hand your credentials to a third-party credential broker.
- Sign-in uses email codes, passwords or trusted sign-in providers, with optional two-factor authentication and bot checks on sign-up.
- Backups: our main database's stated backup retention is currently 2 days, pending a custom schedule; our other data stores have provider recovery windows of up to 30 days; some copies, such as automation run logs, are kept in write-once storage that cannot be changed or deleted for 30 days.
- What we don't have yet, stated plainly: we are not SOC 2 certified (an audit is a future goal, not a present fact), and we are not HIPAA compliant and do not sign BAAs. If your compliance requirements demand those today, Brylee does not meet them yet.
We will keep protecting your data with measures appropriate to a service of our size, and we will update this section as our security improves. We will not claim a certification before we have it. No method of transmission or storage is 100% secure.
12. Availability: no SLA today
We aim to keep Brylee reliably available, and we publish our real operational status at status.bryleeai.com. However, we do not currently offer a service level agreement (SLA): no guaranteed uptime percentage and no service credits. The Service is provided with commercially reasonable effort. Planned maintenance and unplanned outages can happen, and an outage can affect your phone service, including 911 (Section 10). Do not use Brylee for anything where an outage could endanger life, safety or critical infrastructure.
13. Suspension and termination
- By you. You can cancel a workspace at any time from billing settings, or close your account by contacting us. There is no cancellation fee.
- By us, for cause. We may suspend or terminate a workspace or account if you materially breach these Terms or the AUP, don't pay, create legal or security risk for us or other customers, or if we're required to by law. Where practical and lawful, we'll notify you and give you a chance to fix the problem first. For serious issues (security, fraud, abuse such as robocalling or spam, or a legal requirement) we may act immediately. A suspended phone line may not be able to call 911.
- By us, for convenience. We may discontinue the Service or a feature with reasonable advance notice, and at least 30 days' notice before ending phone service. If we discontinue the paid Service entirely, we'll refund any prepaid fees for the period after shutdown, and we will give you time to port your phone numbers.
- What happens after. On termination your right to use the Service ends. Data retention and export after termination follow Section 5, and your phone numbers follow Section 10.3. Sections that by their nature should survive (ownership, payment of fees owed, indemnity, liability limits, governing law) survive.
14. Confidentiality
Each of us may learn non-public information about the other through this relationship: your Customer Data and non-public details about you or your business on one side; our non-public product and security details on the other. Each of us agrees to protect the other's confidential information with at least reasonable care, use it only for purposes of this agreement, and not disclose it to others except to employees and contractors who need it and are bound to confidentiality, or where law requires disclosure (in which case, where lawful, we'll tell you first).
15. Warranties and disclaimers
- What we warrant. We warrant that we will provide the Service with commercially reasonable skill and care.
- What we disclaim. Except for that, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT THE LAW ALLOWS, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT AI OUTPUT WILL BE ACCURATE, THAT 911 CALLS WILL ALWAYS CONNECT OR SHOW YOUR LOCATION, OR THAT THIRD-PARTY SERVICES AND USER-SUPPLIED CONNECTORS WILL WORK OR BE SAFE. Some jurisdictions don't allow certain disclaimers, so parts of this section may not apply to you.
16. Limitation of liability
- Where the law protects you, the law wins. Some laws, especially consumer-protection laws, do not allow a contract to limit certain rights or damages. These limits apply only to the maximum extent the law allows, and nothing in this section takes away a right the law says you always have.
- No indirect damages. To the maximum extent the law allows, neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility.
- Cap. To the maximum extent the law allows, our total liability arising out of or relating to the Service is capped at the fees you paid us for the affected workspace in the twelve (12) months before the event giving rise to the claim.
- 911. Federal law limits the liability of internet phone providers for 911 service to the same extent as traditional phone companies. To the extent the law allows, we, our carriers and our 911 service providers are not liable for any claim arising from 911 calls or their failure, except where caused by our gross negligence or intentional misconduct.
- What the cap doesn't limit. The cap does not limit your payment obligations or your indemnity obligations under Section 17.
17. Indemnification
- You cover us for third-party claims arising from: (a) your Customer Data; (b) specifications, destinations and credentials you supply and the connectors generated from them (Section 8.3); (c) your automations and their effects on your connected accounts; (d) your use of the Service in violation of these Terms, the AUP or the law, including calling, texting and recording laws; (e) data you collect from other people through the Service (for example, through your forms or phone lines); and (f) an inaccurate 911 address you gave us or failed to update, or your failure to tell your users about the 911 limits or to place the warning labels, except, in each case, to the extent caused by us.
- We cover you for third-party claims that the Service itself (excluding your Customer Data, user-supplied connectors, and third-party services) infringes their intellectual property rights.
- Process. The indemnified party must notify the other promptly, let the indemnifying party control the defense, and reasonably cooperate. The indemnifying party may not settle in a way that admits fault for the other party without that party's consent.
18. Changes to these Terms
We may update these Terms as the product changes. If a change is material, we will notify you (by email or in the product) at least 30 days before it takes effect. Continuing to use Brylee after the effective date means you accept the change. If you don't accept it, cancel before it takes effect. The current version and its effective date are always shown at the top of this document. A material change to the 911 notice in Section 10.1 also needs your new acknowledgment.
19. Governing law and disputes
These Terms are governed by the laws of the State of Georgia and applicable federal law, without regard to Georgia's conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in Fulton County, Georgia, and both of us consent to jurisdiction there. If you are a consumer, nothing in this section stops you from bringing a claim in the courts where you live when the law gives you that right.
No forced arbitration, no class-action waiver. We do not require you to give up your right to go to court, and we do not ask you to waive participation in a class action. If we ever disagree, you keep every option the law gives you.
20. General
- Electronic notices and signatures. You agree that we can give you agreements, notices and disclosures electronically, and that clicking "I agree" or accepting in the product is your signature.
- Entire agreement. These Terms (with the Privacy Policy, AUP and your plan selection) are the whole agreement about the Service and replace any earlier discussions.
- Negotiated agreements. If we sign a separate written agreement with you, that agreement controls where it conflicts with these Terms.
- Assignment. You may not assign these Terms without our consent, except to a successor of your business (if you use Brylee for one). We may assign to an affiliate or in a merger, acquisition or sale of assets.
- Severability. If a court finds part of these Terms unenforceable, the rest still applies.
- No waiver. Not enforcing a term isn't a waiver of it.
- Force majeure. Neither of us is responsible for delays caused by events beyond reasonable control (natural disasters, war, internet, carrier or utility failures, government action), except your payment obligations.
- Notices. We send notices to your account email. You send notices to support@bryleeai.com or to the address above.
